1. DEFINITIONS

"Account" means a registered user profile created on the MedxGo platform.

"Affiliate" means any entity that directly or indirectly controls, is controlled by, or is under common control with MedxGo Technologies Limited.

"Applicable Law" means all laws, statutes, regulations, guidelines, codes of practice, and regulatory requirements applicable in Nigeria and any other jurisdiction where MedxGo operates, including but not limited to the Nigeria Data Protection Act 2023, Federal Competition and Consumer Protection Act 2018, Companies and Allied Matters Act 2020, Cybercrimes (Prohibition, Prevention, etc.) Act 2015 (as amended), National Health Act 2014, Pharmacists Council of Nigeria Act, Medical and Dental Practitioners Act, and the Electronic Pharmacy Regulations 2026.

"Business Day" means any day other than Saturday, Sunday, or a public holiday in Lagos State, Nigeria.

"Customer" means any individual or entity that registers on the MedxGo platform to purchase products or access services.

"Delivery Fee" means the fee charged for the transportation and delivery of goods ordered through the platform.

"Force Majeure" means any event beyond the reasonable control of MedxGo, including but not limited to acts of God, war, terrorism, civil unrest, government actions, epidemics, pandemics, strikes, internet outages, power failures, and failures of third-party service providers.

"Healthcare Provider" means any licensed medical professional, hospital, clinic, diagnostic center, laboratory, or other health institution registered on the MedxGo platform.

"Intellectual Property" means all patents, trademarks, copyrights, trade secrets, domain names, designs, logos, and other proprietary rights.

"Lexi AI" means MedxGo's proprietary artificial intelligence system.

"Merchant" means any business entity partnered with MedxGo to offer goods or services through the platform.

"Order" means a request placed by a Customer for products or services through the MedxGo platform.

"Partner" means any Pharmacy, Restaurant, Rider, Merchant, or Healthcare Provider registered on the MedxGo platform.

"Platform" means the MedxGo mobile application, website, APIs, and any affiliated digital interfaces.

"Service Fee" means the commission or fee charged by MedxGo for facilitating transactions on the Platform.

"User," "You," or "Your" means any individual or entity that accesses or uses the Platform, including Customers, Partners, and Visitors.

"We," "Us," or "Our" means MedxGo Technologies Limited.

2. AGREEMENT TO TERMS

2.1 Binding Agreement

By downloading, installing, accessing, registering for, or using the MedxGo Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms"), our Privacy Policy, and any other policies or guidelines referenced herein (collectively, the "Agreement"). If you do not agree to these Terms, you must immediately cease all use of the Platform and uninstall the application.

2.2 Electronic Acceptance

Your click on the "I Agree" button, creation of an Account, or continued use of the Platform constitutes your electronic signature and affirmative acceptance of these Terms, which form a legally binding contract between you and MedxGo Technologies Limited under the Electronic Transactions Act and equivalent legislation.

2.3 Age Requirement

You must be at least 18 years of age, or the age of majority in your jurisdiction, to enter into this Agreement. Individuals between 16 and 18 years may use limited services with verified parental or guardian consent. Users under 16 are prohibited from creating Accounts or using the Platform except as expressly permitted under our Children's Privacy provisions.

2.4 Capacity

By using the Platform, you represent and warrant that you have the legal capacity to enter into binding contracts, that all information you provide is true, accurate, and complete, and that you are not barred from using the Platform under any Applicable Law.

3. ELIGIBILITY AND ACCOUNT REGISTRATION

3.1 Account Creation

To access most features of the Platform, you must register for an Account. You agree to provide accurate, current, and complete information during registration and to update such information promptly to maintain its accuracy.

3.2 Account Security

You are solely responsible for maintaining the confidentiality of your Account credentials, including your username and password. You agree to:

  • Use strong, unique passwords and enable multi-factor authentication where available
  • Notify us immediately of any unauthorized access or security breach
  • Not share your Account credentials with any third party
  • Not use another person's Account without authorization

3.3 Account Restrictions

  • One individual may not maintain more than one Customer Account without express written permission
  • Accounts may not be transferred, sold, or assigned to another party without MedxGo's prior written consent
  • MedxGo reserves the right to refuse registration, suspend, or terminate any Account at its sole discretion

3.4 KYC and Identity Verification

MedxGo may require identity verification through government-issued identification, biometric verification, or third-party verification services. Failure to complete verification may result in Account limitations or termination.

4. NATURE OF THE PLATFORM

4.1 Platform as Intermediary

MedxGo operates as a technology platform that facilitates connections between Customers and Partners (Pharmacies, Restaurants, Riders, Merchants, and Healthcare Providers). MedxGo is not a pharmacy, restaurant, healthcare provider, employer of Riders, or seller of goods. We do not directly provide medical, pharmaceutical, culinary, or delivery services.

4.2 No Agency or Employment Relationship

Nothing in these Terms creates an agency, partnership, joint venture, employer-employee, or franchise relationship between MedxGo and any User. Partners are independent contractors responsible for their own operations, compliance, and service quality.

4.3 Limited Liability for Partner Actions

While MedxGo implements verification and quality control measures, we are not liable for the acts, omissions, errors, or misconduct of any Partner. All transactions and service engagements are directly between the Customer and the respective Partner, subject to the terms set forth herein.

4.4 Platform Availability

We strive to maintain Platform availability 24/7, but we do not guarantee uninterrupted access. The Platform may be temporarily unavailable due to maintenance, updates, technical issues, or Force Majeure events.

5. SERVICES OVERVIEW

5.1 Core Services

MedxGo provides the following services through its Platform:

Pharmacy Services: Online ordering of pharmaceutical products, prescription fulfillment, over-the-counter medications, health supplements, and medical devices from licensed Partner Pharmacies.

Restaurant and Food Services: Online ordering of meals, beverages, and food items from registered Partner Restaurants.

Healthcare Services: Telemedicine consultations, appointment booking, health information, symptom checking, and wellness services facilitated through licensed Healthcare Providers.

Delivery and Logistics: Last-mile delivery services for pharmaceutical products, food items, and other goods through independent Rider Partners.

AI Health Assistance: General health information, medication reminders, and wellness guidance through Lexi AI.

Merchant Marketplace: Access to health and wellness products from various registered Merchants.

5.2 Service Modifications

MedxGo reserves the right to modify, suspend, or discontinue any service, feature, or functionality at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation.

6. CUSTOMER TERMS

6.1 Ordering and Payment

  • Customers may browse products and services, add items to cart, and place Orders through the Platform
  • All Orders are subject to acceptance by the respective Partner and availability of items
  • Prices displayed are inclusive of applicable taxes unless otherwise stated
  • Payment must be made through approved payment methods before Order confirmation
  • MedxGo reserves the right to cancel Orders for suspected fraud, pricing errors, or violations of these Terms

6.2 Prescription Requirements

  • Prescription medications require a valid prescription from a licensed medical practitioner
  • Customers must upload clear, legible prescription images or documents
  • Prescriptions are verified by licensed pharmacists before fulfillment
  • MedxGo reserves the right to refuse fulfillment of prescriptions that appear fraudulent, expired, or non-compliant with Applicable Law
  • Controlled substances and restricted medications are subject to additional verification and may require in-person pickup

6.3 Delivery

  • Delivery times are estimates and not guarantees
  • Customers must provide accurate delivery addresses and ensure availability to receive Orders
  • Failed deliveries due to incorrect addresses, unavailability, or refusal may incur additional fees
  • Risk of loss and title for items pass to the Customer upon delivery

6.4 Customer Representations

Customers represent and warrant that:

  • All health information provided is accurate and complete
  • They will use prescription medications only as prescribed
  • They will consult licensed healthcare professionals for serious or persistent health concerns
  • They will not use the Platform for any illegal or unauthorized purpose

7. PHARMACY PARTNER TERMS

7.1 Licensing and Compliance

Partner Pharmacies must:

  • Hold a valid license from the Pharmacists Council of Nigeria (PCN) or equivalent authority in their jurisdiction
  • Comply with the Electronic Pharmacy Regulations 2026 and all NAFDAC regulations
  • Integrate with the National Electronic Pharmacy Platform as required
  • Maintain current professional indemnity insurance
  • Ensure all pharmaceutical products are registered with NAFDAC and sourced from authorized distributors

7.2 Product Listings

Pharmacies must:

  • Provide accurate product descriptions, pricing, and availability information
  • Ensure all listed products are genuine, unexpired, and properly stored
  • Clearly distinguish between prescription and over-the-counter medications
  • Not list counterfeit, expired, or prohibited substances

7.3 Prescription Fulfillment

Pharmacies must:

  • All prescription orders must be verified and approved by a licensed pharmacist
  • Dispensing must comply with PCN Code of Ethics and professional standards
  • Adverse drug reactions must be reported in accordance with NAFDAC requirements
  • Patient counseling must be provided for all prescription medications

7.4 Prohibited Practices

Pharmacies are prohibited from:

  • Selling prescription medications without valid prescriptions
  • Cross-border online sales of medicines except as permitted by law
  • Dispensing controlled substances through delivery without proper verification
  • Making false or misleading claims about products
  • Price gouging or exploitative pricing

7.5 Quality Assurance

MedxGo reserves the right to:

  • Conduct periodic audits of Partner Pharmacy operations
  • Request documentation of licensing, insurance, and compliance
  • Suspend or terminate Pharmacy accounts for violations
  • Report serious violations to PCN, NAFDAC, or law enforcement

8. RESTAURANT PARTNER TERMS

8.1 Licensing and Compliance

Partner Restaurants must:

  • Hold valid food business permits and operating licenses
  • Comply with National Agency for Food and Drug Administration and Control (NAFDAC) food safety regulations
  • Maintain current health certifications for food handlers
  • Adhere to state and local health department requirements

8.2 Food Safety and Quality

Restaurants must:

  • Prepare food in compliance with food safety standards
  • Accurately disclose ingredients, allergens, and nutritional information
  • Ensure food is properly packaged for delivery
  • Maintain appropriate food handling and storage temperatures

8.3 Menu and Pricing

Menu items, descriptions, and pricing must be accurate and current. Promotional offers must be honored as advertised. Restaurants are responsible for order accuracy and quality.

8.4 Liability for Food Safety

Partner Restaurants bear full responsibility for food safety, hygiene, and quality. MedxGo is not liable for foodborne illness, allergic reactions, or other adverse effects resulting from Restaurant operations.

9. RIDER/DELIVERY PARTNER TERMS

9.1 Independent Contractor Status

Riders are independent contractors, not employees, agents, or representatives of MedxGo. Nothing in these Terms creates an employment relationship.

9.2 Requirements

Riders must:

  • Be at least 18 years of age
  • Possess a valid driver's license and vehicle registration
  • Maintain valid vehicle insurance
  • Pass background checks and verification
  • Complete MedxGo training programs

9.3 Service Standards

Riders must:

  • Maintain professional conduct at all times
  • Handle deliveries with care, especially pharmaceutical products requiring temperature control
  • Follow traffic laws and safety regulations
  • Use the MedxGo app for route optimization and delivery confirmation
  • Maintain the confidentiality of Customer information

9.4 Prohibited Conduct

Riders are prohibited from:

  • Consuming or tampering with delivered items
  • Sharing Customer information with third parties
  • Engaging in harassment, discrimination, or unsafe behavior
  • Using the Platform for illegal activities

9.5 Equipment and Vehicle

Riders are solely responsible for:

  • Providing and maintaining their own vehicles and equipment
  • Ensuring vehicles meet safety and emissions standards
  • All costs associated with vehicle operation, including fuel, maintenance, and insurance

10. MERCHANT PARTNER TERMS

10.1 General Merchant Obligations

All Merchants must:

  • Hold valid business registrations and applicable licenses
  • Comply with all Applicable Laws governing their products or services
  • Provide accurate product information, pricing, and availability
  • Honor all Orders placed through the Platform
  • Maintain adequate inventory to fulfill Orders

10.2 Product Quality and Safety

Merchants are responsible for:

  • The quality, safety, and authenticity of all products sold
  • Compliance with product labeling and packaging requirements
  • Warranty and guarantee obligations
  • Product recalls and safety notifications

10.3 Commission and Fees

Merchants agree to pay MedxGo the applicable Service Fees, commissions, and processing fees as set forth in their Partner Agreement. Fees are subject to change with 30 days' prior notice.

11. HEALTHCARE PROVIDER TERMS

11.1 Licensing and Professional Standards

Healthcare Providers must:

  • Hold current registration with the Medical and Dental Council of Nigeria (MDCN), Nursing and Midwifery Council of Nigeria, or other relevant professional body
  • Comply with the MDCN Telemedicine Practice Guidelines and Code of Medical Ethics
  • Maintain professional indemnity insurance as required by law
  • Verify their credentials through MedxGo's verification process

11.2 Telemedicine Services

Healthcare Providers must:

  • Obtain informed, documented consent before providing telemedicine services
  • Conduct appropriate patient identification and clinical documentation
  • Not diagnose complex conditions solely through asynchronous text message
  • Refer patients to in-person care when clinically indicated
  • Maintain patient confidentiality in accordance with professional standards and the NDPA

11.3 Prescription Authority

Healthcare Providers may issue prescriptions only within their scope of practice and licensure. All prescriptions must comply with formality requirements under Applicable Law. Providers must not prescribe controlled substances through telemedicine without proper safeguards. AI (Lexi AI) may not be used as the sole diagnostic instrument without human clinical oversight.

11.4 Professional Liability

Healthcare Providers bear full professional liability for the medical services they provide. MedxGo does not practice medicine and is not liable for medical advice, diagnosis, treatment, or outcomes.

12. LEXI AI – ARTIFICIAL INTELLIGENCE SERVICES

12.1 Nature of Lexi AI

Lexi AI is an artificial intelligence system designed to provide general health information, medication reminders, wellness tips, and navigational assistance. Lexi AI does not provide medical advice, diagnosis, or treatment recommendations.

12.2 Not a Substitute for Professional Care

  • Lexi AI is a supportive tool only and does not replace consultation with licensed healthcare professionals
  • Users must consult qualified medical practitioners for diagnosis, treatment, and medical emergencies
  • Lexi AI responses are generated based on established medical databases and should be verified with healthcare providers

12.3 AI-Generated Content Disclaimer

  • Information provided by Lexi AI is for informational purposes only
  • MedxGo does not guarantee the accuracy, completeness, or timeliness of AI-generated content
  • Users assume full responsibility for decisions made based on Lexi AI interactions
  • Lexi AI may incorporate third-party AI components subject to their respective terms

12.4 Data Use for AI Improvement

By using Lexi AI, you consent to the collection and use of your interaction data for the purpose of improving AI performance, subject to the anonymization and privacy safeguards described in our Privacy Policy. You may opt out of data use for AI training through your Account settings.

12.5 No Automated Medical Decisions

Lexi AI does not make automated decisions that produce legal effects concerning Users or significantly affect them in relation to healthcare without human oversight, except where explicitly authorized by law.

13. PRESCRIPTION AND PHARMACEUTICAL SERVICES

13.1 Prescription Verification

All prescriptions uploaded to the Platform are subject to verification by licensed pharmacists. Verification includes:

  • Confirming the prescribing physician's registration and licensure
  • Validating prescription authenticity and expiration
  • Checking for drug interactions and contraindications
  • Ensuring compliance with dosage and quantity regulations

13.2 Controlled Substances

The following restrictions apply to controlled substances:

  • Schedule I and II controlled substances may not be dispensed through the Platform
  • Schedule III-V controlled substances require enhanced verification and may require in-person pickup
  • All controlled substance transactions are reported to relevant authorities as required by law

13.3 Prescription Refills

Refills are permitted only as authorized by the original prescription. Automatic refills require explicit patient consent and prescriber authorization.

13.4 Adverse Event Reporting

Users must report any adverse reactions, side effects, or product quality issues to MedxGo customer support and their healthcare provider promptly. MedxGo will report serious adverse events to NAFDAC as required.

14. PAYMENTS, FEES, AND BILLING

14.1 Pricing and Transparency

All prices displayed on the Platform are in Nigerian Naira (NGN) unless otherwise indicated. Prices include applicable taxes unless stated otherwise. MedxGo is committed to transparent pricing in compliance with the FCCPA.

14.2 Payment Methods

We accept:

  • Debit and credit cards (Visa, Mastercard, Verve)
  • Bank transfers and USSD
  • Mobile money wallets
  • MedxGo Wallet
  • Cash on delivery (limited locations)
  • Health insurance direct billing (partnered insurers)

14.3 Service Fees

MedxGo charges Service Fees, Delivery Fees, and Processing Fees as displayed at checkout. Fee structures are available in the app and may be updated with 30 days' notice.

14.4 MedxGo Wallet

  • The MedxGo Wallet is a stored value account for making payments on the Platform
  • Wallet funds are not interest-bearing and are not deposits insured by the NDIC
  • Wallet balances are non-transferable except as permitted by MedxGo
  • MedxGo reserves the right to suspend Wallet functionality for suspected fraud

14.5 Failed Payments

Failed or declined payments may result in Order cancellation. Repeated failed payments may trigger Account review or suspension.

14.6 Currency and International Transactions

For Users in jurisdictions outside Nigeria, prices may be displayed in local currency based on exchange rates. International transaction fees may apply based on your payment provider's terms.

15. CANCELLATIONS, REFUNDS, AND RETURNS

15.1 Order Cancellations

  • Customers may cancel Orders before Partner acceptance through the Platform
  • Once a Partner accepts an Order, cancellation is subject to Partner approval
  • Cancellations after dispatch may incur Delivery Fees

15.2 Refund Policy

Refunds are processed in accordance with FCCPA requirements and MedxGo's refund policy:

  • Non-delivered items: Full refund within 5-7 Business Days
  • Wrong or damaged items: Full refund or replacement at Customer's option
  • Expired or counterfeit products: Full refund plus applicable compensation
  • Change of mind: Subject to Partner policy and item condition; may incur restocking fees

15.3 Pharmaceutical Returns

For health and safety reasons, the following pharmaceutical items cannot be returned:

  • Opened or used medications
  • Temperature-sensitive products that have left controlled storage
  • Items with broken seals or damaged packaging
  • Custom-compounded medications

Unopened, undamaged pharmaceutical items may be returned within 7 days with original receipt.

15.4 Food Returns

Food items cannot be returned once delivered for health and safety reasons. Refunds for incorrect, contaminated, or spoiled food are processed on a case-by-case basis.

15.5 Refund Method

Refunds are credited to the original payment method or MedxGo Wallet at the Customer's election. Processing times vary by payment method.

16. INTELLECTUAL PROPERTY RIGHTS

16.1 MedxGo Ownership

All Intellectual Property rights in the Platform, including software, code, algorithms, databases, designs, logos, trademarks, trade names, and content (excluding User-generated content), are owned by MedxGo Technologies Limited or its licensors.

16.2 License to Use

Subject to your compliance with these Terms, MedxGo grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for personal, non-commercial purposes.

16.3 Restrictions

You may not:

  • Copy, modify, distribute, sell, or lease any part of the Platform
  • Reverse engineer, decompile, or disassemble the software
  • Use scraping, data mining, or similar automated means to extract data
  • Remove copyright, trademark, or other proprietary notices
  • Create derivative works based on the Platform

16.4 User-Generated Content

By submitting reviews, feedback, or other content to the Platform, you grant MedxGo a worldwide, royalty-free, perpetual, irrevocable license to use, reproduce, modify, adapt, publish, and display such content for Platform operation and promotion.

16.5 Trademark Notice

"MedxGo," "Lexi AI," and associated logos are registered trademarks of MedxGo Technologies Limited. Unauthorized use is strictly prohibited.

17. USER CONDUCT AND PROHIBITED ACTIVITIES

17.1 General Conduct

Users agree to use the Platform lawfully, ethically, and in good faith. You must not engage in any activity that:

  • Violates any Applicable Law or regulation
  • Infringes the rights of others
  • Interferes with Platform operation or other Users' access
  • Constitutes fraud, misrepresentation, or deceptive practice

17.2 Prohibited Activities

Specifically prohibited activities include:

  • Creating fake Accounts or impersonating others
  • Submitting false, fraudulent, or forged prescriptions
  • Reselling medications or products purchased through the Platform
  • Using the Platform to distribute illegal drugs or controlled substances
  • Harassing, threatening, or discriminating against Partners or other Users
  • Manipulating reviews, ratings, or Platform algorithms
  • Introducing malware, viruses, or harmful code
  • Attempting to breach Platform security measures

17.3 Consequences of Violations

Violations may result in:

  • Immediate Account suspension or termination
  • Forfeiture of Wallet balances and rewards
  • Reporting to law enforcement or regulatory authorities
  • Civil liability and claims for damages

18. CONTENT MODERATION AND PLATFORM GOVERNANCE

18.1 Moderation Rights

MedxGo reserves the right, but not the obligation, to monitor, review, edit, remove, or disable access to any content on the Platform that violates these Terms or Applicable Law.

18.2 Reporting Mechanism

Users may report violations, inappropriate content, or safety concerns through the in-app reporting feature or by contacting support@medxgoapp.com.

18.3 Cooperation with Authorities

MedxGo cooperates with law enforcement and regulatory authorities and may disclose User information as required by law, court order, or to protect public safety.

19. REVIEWS, RATINGS, AND FEEDBACK

19.1 Authenticity

All reviews and ratings must reflect genuine experiences. Fake, paid, or incentivized reviews are prohibited.

19.2 Content Guidelines

Reviews must not contain:

  • Profanity, hate speech, or discriminatory language
  • Personal information of others
  • False or defamatory statements
  • Promotional content for competing services

19.3 Platform Use of Feedback

MedxGo may use reviews and ratings for quality assurance, Partner evaluation, and marketing purposes. Submission of feedback constitutes consent to such use.

20. PRIVACY AND DATA PROTECTION

20.1 Privacy Policy

Your use of the Platform is governed by our Privacy Policy, which is incorporated by reference into these Terms. The Privacy Policy details how we collect, use, store, and protect your personal data in compliance with the Nigeria Data Protection Act 2023 and other Applicable Laws.

20.2 Consent to Data Processing

By using the Platform, you consent to the collection and processing of your personal data as described in the Privacy Policy. You may withdraw consent for certain processing activities as provided therein, though this may limit your ability to use certain features.

20.3 Data Subject Rights

You have the rights set forth in the NDPA, including access, rectification, erasure, restriction, portability, and objection rights. To exercise these rights, contact our Data Protection Officer at dpo@medxgoapp.com.

21. CONFIDENTIALITY

21.1 Confidential Information

Users may have access to confidential information of MedxGo or other Users. You agree to maintain the confidentiality of such information and not disclose it to third parties without authorization.

21.2 Healthcare Confidentiality

Healthcare Providers and Pharmacies must maintain strict patient confidentiality in accordance with professional ethics and the NDPA. Unauthorized disclosure of patient health information is grounds for immediate termination and legal action.

22. DISCLAIMERS AND LIMITATIONS OF LIABILITY

22.1 Platform "As Is"

MEDXGO DOES NOT PROVIDE MEDICAL ADVICE, DIAGNOSIS, OR TREATMENT. ALL HEALTH-RELATED INFORMATION ON THE PLATFORM IS FOR INFORMATIONAL PURPOSES ONLY. ALWAYS SEEK THE ADVICE OF QUALIFIED HEALTHCARE PROFESSIONALS FOR MEDICAL CONDITIONS.

22.3 No Guarantee of Results

MedxGo does not guarantee that:

  • Orders will be fulfilled within estimated timeframes
  • Products will meet specific expectations or outcomes
  • Healthcare consultations will result in diagnosis or cure
  • The Platform will be free from errors, viruses, or harmful components

22.4 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MEDXGO'S TOTAL LIABILITY FOR ANY CLAIM ARISING FROM OR RELATED TO THESE TERMS OR THE PLATFORM SHALL NOT EXCEED THE GREATER OF:

  • The total amount paid by you to MedxGo in the 12 months preceding the claim; or
  • NGN 100,000 (ONE HUNDRED THOUSAND NAIRA)

22.5 Exclusion of Consequential Damages

IN NO EVENT SHALL MEDXGO BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE PLATFORM, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

22.6 Statutory Rights

Nothing in these Terms excludes or limits liability for:

  • Death or personal injury caused by negligence
  • Fraud or fraudulent misrepresentation
  • Any other liability that cannot be excluded under Applicable Law

23. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless MedxGo Technologies Limited, its Affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising from:

  • Your violation of these Terms or Applicable Law
  • Your use of the Platform
  • Your negligence or misconduct
  • Any content you submit to the Platform
  • Your interactions with Partners or other Users

24. FORCE MAJEURE

MedxGo shall not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from Force Majeure events. In the event of Force Majeure, MedxGo will use reasonable efforts to resume performance as soon as practicable and notify affected Users.

25. TERMINATION AND ACCOUNT SUSPENSION

25.1 Termination by User

You may terminate your Account at any time by following the account deletion process in the app settings or contacting support@medxgoapp.com.

25.2 Termination by MedxGo

MedxGo may suspend or terminate your Account immediately, without notice, for:

  • Violations of these Terms or Applicable Law
  • Fraudulent, abusive, or illegal activity
  • Non-payment of fees
  • Extended periods of inactivity
  • Requests by law enforcement or regulatory authorities

25.3 Effect of Termination

Upon termination:

  • Your right to access the Platform ceases immediately
  • Unfulfilled Orders may be cancelled
  • Outstanding fees remain payable
  • Provisions intended to survive termination (Intellectual Property, Liability, Indemnification) remain in effect

25.4 Data Retention

Personal data will be retained and disposed of in accordance with our Privacy Policy and Applicable Law.

26. DISPUTE RESOLUTION AND GOVERNING LAW

26.1 Governing Law

These Terms and any disputes arising from them are governed by the laws of the Federal Republic of Nigeria.

26.2 Dispute Resolution Process

In the event of a dispute:

Negotiation: Parties shall first attempt to resolve the dispute amicably through good-faith negotiations within 30 days.

Mediation: If negotiation fails, parties shall submit to mediation under the Lagos Court of Arbitration (LCA) Mediation Rules.

Arbitration: If mediation fails, disputes shall be finally resolved by arbitration under the Arbitration and Conciliation Act, conducted in Lagos, Nigeria, in English, before a single arbitrator appointed by the LCA.

26.3 Class Action Waiver

To the extent permitted by law, you agree that any proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

26.4 Injunctive Relief

Notwithstanding the above, MedxGo may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its Intellectual Property or confidential information.

27. THIRD-PARTY SERVICES AND INTEGRATIONS

27.1 Third-Party Providers

The Platform integrates with third-party services for payment processing, identity verification, cloud hosting, analytics, and communication. Your use of these services is subject to their respective terms and policies.

27.2 No Endorsement

MedxGo does not endorse, warrant, or assume responsibility for any third-party products, services, or content.

27.3 Third-Party Risk Allocation

MedxGo allocates risk in relation to third-party integrations as follows:

  • Payment failures due to processor issues: Resolution through respective payment provider
  • Verification service outages: Temporary Account limitations until service restoration
  • Cloud infrastructure failures: Service restoration per provider SLAs

28. MODIFICATIONS TO TERMS

28.1 Right to Modify

MedxGo reserves the right to modify these Terms at any time. Material changes will be communicated via email, in-app notification, or prominent website posting at least 30 days before the effective date.

28.2 Acceptance of Changes

Continued use of the Platform after the effective date of modifications constitutes acceptance of the revised Terms. If you do not agree to the changes, you must stop using the Platform.

29. GENERAL PROVISIONS

29.1 Entire Agreement

These Terms, together with the Privacy Policy and any other referenced agreements, constitute the entire agreement between you and MedxGo regarding the Platform.

29.2 Severability

If any provision is found invalid or unenforceable, the remaining provisions shall continue in full force and effect.

29.3 No Waiver

Failure to enforce any right does not constitute a waiver of that right.

29.4 Assignment

MedxGo may assign these Terms to an Affiliate or in connection with a merger or sale of assets. You may not assign your rights without MedxGo's written consent.

29.5 Notices

Notices to MedxGo should be sent to legal@medxgoapp.com. Notices to Users will be sent to the email address associated with their Account.

29.6 Headings

Section headings are for convenience only and do not affect interpretation.

29.7 Language

These Terms are drafted in English. In case of conflict with translated versions, the English version prevails.

31. REGULATORY COMPLIANCE AND LEGAL NOTICES

31.1 Nigerian Regulatory Compliance

MedxGo complies with all applicable Nigerian laws and regulations, including:

  • Federal Competition and Consumer Protection Act 2018
  • Companies and Allied Matters Act 2020
  • Cybercrimes (Prohibition, Prevention, etc.) Act 2015 (as amended)

MedxGo maintains professional indemnity insurance as required by Applicable Law. Healthcare Providers and Pharmacies are required to maintain their own professional indemnity coverage.

  • MedxGo does not engage in misleading, deceptive, or fraudulent marketing practices

31.5 Data Breach Notification

In compliance with the NDPA, MedxGo will notify the Nigeria Data Protection Commission and affected Users of any personal data breach within 72 hours of discovery where required by law.

31.6 Cross-Border Operations

As MedxGo expands across Africa, we commit to complying with local data protection, health, and consumer protection laws in each jurisdiction of operation, including but not limited to POPIA (South Africa), Kenya Data Protection Act 2019, and Ghana Data Protection Act 2012.
